1. Agreement to Terms

Syndora provides market entry intelligence, expansion consulting, and related advisory services. The specific deliverables and scope of each engagement are defined in individual service agreements or statements of work executed between Syndora and the client.
3. Intellectual Property
All reports, frameworks, methodologies, and materials produced by Syndora remain the intellectual property of Syndora unless explicitly transferred in writing. Clients receive a non-exclusive licence to use deliverables for their internal business purposes.
4. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary information exchanged during the engagement. Syndora will not disclose client business information to third parties without prior written consent.
5. Limitation of Liability
Syndora's liability is limited to the fees paid for the specific engagement. We are not liable for indirect, consequential, or incidental damages arising from the use of our services or reliance on our recommendations. Market conditions are dynamic and past research does not guarantee future outcomes.
6. Governing Law
These terms are governed by applicable international commercial law. Any disputes shall be resolved through binding arbitration in accordance with internationally recognised arbitration rules.
7. Indemnification
You agree to defend, indemnify, and hold harmless Syndora, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website and our services, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.
8. Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. This ensures that the remainder of the agreement remains legally binding and operational.
9. Entire Agreement
These Terms, our Privacy Policy, Cookie Policy, and any specific engagement letters or service agreements you enter into with us, constitute the sole and entire agreement between you and Syndora regarding your use of the website and our advisory services. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the website and services.
10. Force Majeure
Syndora shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Syndora including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials.
